أصدرت محكمة طنطا الاقتصادية حكمًا نهائيًا في القضية رقم 436 لسنة 2023 كلي اقتصادي، قضت فيه بعودة 25% من أسهم شركة «نماء مصر للتوريدات» إلى المالك الأصلي حمدي منير محمود سليمان، بعد ثبوت بطلان التصرفات التي تمت على هذه الحصص بالمخالفة للقانون.
وأكدت حيثيات الحكم أن المدعى عليه جلال عبدالفتاح محمد عثمان لا يزال يمتنع حتى الآن عن تسليم الأسهم المقضي بعودتها، رغم صدور حكمين قضائيين نهائيين واجبي النفاذ، بما يمثل مخالفة صريحة لأحكام القضاء.
وتناولت المحكمة في أسباب حكمها المبادئ المستقرة بشأن بطلان قرارات شركات المساهمة، مشيرة إلى أن القرارات التي تصدر لمصلحة فئة معينة من المساهمين، أو التي تضر بباقي المساهمين،
أو التي تحقق منفعة خاصة لأعضاء مجلس الإدارة دون مراعاة مصلحة الشركة، تُعد قرارات باطلة بطلانًا مطلقًا.
كما أوضحت المحكمة شروط قبول دعوى البطلان، والتي تستلزم أن يكون رافع الدعوى من المساهمين الذين اعترضوا على القرار في محضر الجلسة، أو تغيبوا لعذر مقبول، مع جواز تدخل الجهة الإدارية المختصة حال ظهور أسباب جديدة.
وأكدت المحكمة أن الحكم بالبطلان يترتب عليه اعتبار القرار كأن لم يكن بالنسبة لجميع المساهمين، مع وجوب نشر ملخص الحكم في الصحف، وعدم سريان المادة 20 من قانون المرافعات عليه، استنادًا إلى أحكام محكمة النقض، من بينها الطعن رقم 1358 لسنة 80 قضائية.
كما قضت المحكمة بعدم قبول الدعوى بالنسبة لأحد المدعى عليهم لانتفاء الصفة، وبطلان عقود ومحاضر جمعيات.
وشمل الحكم بطلان عقد البيع المؤرخ 29/5/2019 المتضمن بيع 2500 حصة من أسهم شركة «نماء مصر للتوريدات»، وبطلان محضر الجمعية العامة غير العادية المؤرخ 28/7/2019 الخاص بنقل ملكية الأسهم محل العقد الباطل، وإلزام المدعى عليه الأول بالمصاريف ومبلغ 75 جنيهًا مقابل أتعاب المحاماة.
ويُعد الحكم سابقة قانونية مهمة في حماية حقوق المساهمين، والتأكيد على بطلان أي تصرفات أو قرارات تصدر بالمخالفة لأحكام القانون أو تمس العدالة بين الشركاء.
